CAPITAL REALM (00204.HK): Receives Resumption Guidance; 18-Month Remedy Period Expires 1 January 2028
NewTimeSpace News: On 9 October 2026, Capital Realm Financial Holdings Group Limited (the "Company") published an announcement referring to its announcements dated 29 June, 30 June, 31 July and 31 August 2026 regarding the delay in publication of the audited annual results for the year ended 31 March 2026, the possible delay in despatching the 2026 annual report, the postponement of a board meeting and the suspension of trading. On 6 October 2026, the Company received a letter from the Stock Exchange setting out the resumption guidance.
The announcement disclosed that the resumption guidance requires the Company to: (a) publish all outstanding financial results required under the Listing Rules and address any audit modifications; (b) demonstrate compliance with Rule 13.24; (c) appoint an independent internal control adviser to conduct an independent internal control review and confirm that material deficiencies relating to the trading suspension have been remedied, all necessary remedial measures have been properly implemented, and the Company's internal controls are adequate to enable it to comply with the Listing Rules and other legal and regulatory requirements (including the financial reporting cycle); and (d) inform the market of all material information for shareholders and investors to appraise the Company's position. Before trading is permitted to resume, the Company must comply with all resumption guidance, resolve the issues causing the suspension and fully comply with the Exchange's rules to its satisfaction.
The Company stated that under Rule 6.01A(1), the Exchange may cancel the listing of any securities that have been suspended for 18 consecutive months; in the Company's case, the 18-month period expires on 1 January 2028. If the Company fails to remedy the matters causing the suspension, fully comply with the Listing Rules to the Exchange's satisfaction and resume trading before 1 January 2028, the Listing Division will recommend that the Listing Committee cancel the Company's listing status; the Exchange may also impose a shorter specific remedial period or cancel the listing immediately where appropriate. The Company is taking the necessary steps to resolve the matters as soon as practicable. On business, the Group has been engaged in investment holding for short-to-long-term capital appreciation and investment in listed and unlisted securities, and its daily operations have not been affected by the announcements. On resumption progress, the annual results are expected to be published on or before 31 October 2026 and the annual report on or before 30 November 2026. At the Company's request, trading in its shares has been suspended since 9:00 a.m. on 2 July 2026 and will remain suspended until the Company publishes the annual results and fulfils all resumption guidance.
