CARMEN CENTURY (00612.HK): HKEX imposes additional resumption guidance, trading stays suspended
NewTimeSpace News: On 9 October 2026, Carmen Century Investment Limited (stock code: 00612) announced that it had received a letter dated 6 October 2026 from the Stock Exchange imposing additional resumption guidance on the Company, requiring it to re-comply with Rules 3.10, 3.21, 3.27A and 3.28 of the Listing Rules.
The announcement stated that Ms. Jing Siyuan resigned as an independent non-executive director, chairman of the audit and nomination committees and member of the remuneration committee with effect from 21 September 2026, and Mr. Leung Wai Tai resigned as company secretary with effect from 28 September 2026. Following the resignations, the Company failed to meet requirements on having a minimum of three INEDs with at least one possessing appropriate professional qualifications or accounting or related financial management expertise, an audit committee chaired by an INED with at least three members, a nomination committee chaired by the chairman of the board or an INED, and having a company secretary.
The Stock Exchange stated that the Company must remedy the substantive issues causing its trading suspension and fully comply with the Rules to the Exchange's satisfaction before trading can resume, and that the Company has the primary responsibility to devise its action plan for resumption. The Stock Exchange also reminded the Company of its obligations under its letters dated 4 September 2025 and 2 April 2026, including announcing quarterly updates on its developments under Rule 13.24A.
At the request of the Company, trading in the Shares has been suspended with effect from 9:00 a.m. on 30 June 2025 and will remain suspended until the Company fulfils the Resumption Guidance.
