RED AVENUE (09607.HK): Controller to Buy 6.5m-13m H Shares Within 12 Months

NewTimeSpace News: On 30 September 2026, Red Avenue New Materials Group Co., Ltd. (stock code: 09607) released an overseas regulatory announcement setting out the share increase plan of its actual controller: the subscriber is Ms. ZHANG NING, the Company's actual controller and chairman, who, based on confidence in the Company's future development and recognition of its long-term value, plans to increase her holding of H shares through on-exchange centralised bidding on the Hong Kong Stock Exchange within 12 months from 30 September 2026, using her own or self-raised funds, in a range of 6.5 million to 13 million H shares, with no price range set.

Ms. ZHANG NING has completed a first increase, acquiring 733,400 H shares for HK$29,369,192, representing approximately 0.11% of the total share capital; before the increase she held 837,500 A shares (0.12%) and no H shares, and after the increase she holds 837,500 A shares (0.12%) and 733,400 H shares (0.11%). She has undertaken not to reduce her shareholding during the implementation period of the plan and the statutory period.

Together with her concert parties, Ms. ZHANG NING directly holds 1,570,900 shares and, through RED AVENUE INVESTMENT GROUP LIMITED and Virgin Holdings Limited, which she directly controls, holds 294,570,000 shares (43.05%) and 80,162,700 shares (11.72%) respectively, totalling 376,303,600 shares, or 55.00%.

The announcement noted that the plan may fail to meet expectations due to changes in capital market conditions or other currently unpredictable risk factors; its implementation will not affect the Company's listing status, cause its shareholding distribution to fail to meet listing conditions, or result in a change in the controlling shareholder or actual controller.
