HSBC HOLDINGS (00005.HK): Completes about US$1bn Buy-back; 48,657,102 Shares Repurchased

NewTimeSpace News: On 28 September 2026, HSBC Holdings plc (stock code: 00005) released an overseas regulatory announcement stating that it had purchased 911,200 ordinary shares of US$0.5 each for cancellation from BNP Paribas Financial Markets SNC as part of the buy-back announced on 5 August 2026; the shares were purchased on the Hong Kong Stock Exchange at a highest price of HK$160.7000, lowest price of HK$158.0000 and volume-weighted average price of HK$159.5951 per share.

According to the supplementary information, since the commencement of the buy-back on 5 August 2026 the Company has repurchased 48,657,102 shares for a total consideration of approximately US$998.0 million; its total issued ordinary share capital and voting rights stand at 17,141,942,291. All repurchases made on the Hong Kong Stock Exchange constitute "off-market purchases" for the purposes of the UK Companies Act 2006 but "exchange transactions" for the purposes of the Listing Rules, and "on-market share repurchases" for the purposes of the Hong Kong Code on Takeovers and Mergers and Share Buy-backs; no repurchases were made in the UK venues.

Following the purchase, the buy-back has been completed: since its commencement, the Company has repurchased 31,735,502 ordinary shares in the UK venues at a volume-weighted average price of GBP15.1909 per share and 16,921,600 ordinary shares on the Hong Kong Stock Exchange at HK$161.2887 per share for cancellation, for a total consideration of approximately US$1 billion. Cancellation of the shares repurchased in Hong Kong takes longer, and a separate announcement on total voting rights will be made once cancellation is completed.
