SHEIN-W(00625.HK): stabilisation period ends, over-allotment option lapses

SHEIN-W (00625.HK) said its stabilisation period ended on 26 September and the over-allotment option lapsed unused, with no Class B Shares issued under it.

NewTimeSpace News: SHEIN Global Holdings Limited (00625.HK) said on 27 September that, pursuant to section 9(2) of the Securities and Futures (Price Stabilising) Rules (Cap. 571W of the Laws of Hong Kong), the stabilisation period in connection with the Global Offering ended on Saturday, 26 September 2026, being the 30th day after the last day for lodging applications under the Hong Kong Public Offering.

The Sponsor-Overall Coordinators (for themselves and on behalf of the International Underwriters) did not exercise the Over-allotment Option during the stabilisation period, and the option lapsed on 26 September 2026. Accordingly, no Class B Shares were or will be issued under the Over-allotment Option.

The stabilising actions undertaken during the period included over-allocations of an aggregate of 41,998,500 Class B Shares in the International Offering, representing approximately 15% of the total number of Offer Shares available under the Global Offering before any exercise of the Over-allotment Option; the borrowing of an aggregate of 41,998,500 Class B Shares from a lender pursuant to the Stock Borrowing Agreement to cover the over-allocations; and successive purchases of an aggregate of 41,998,500 Class B Shares at the price range of HK$35.90 to HK$48.56 per Class B Share on the market to facilitate the return of the borrowed shares. The last purchase on the market was made on Tuesday, 22 September 2026 at HK$38.28 per Class B Share.

Immediately after the end of the stabilisation period, the company continues to comply with the public float requirements under Rule 8.08(1) of the Listing Rules. The company is controlled through weighted voting rights.
