SDMC (00901.HK): Proposes H-share Full Circulation; 135,755 Domestic Shares to Convert
NewTimeSpace News: On 24 September 2026, Shenzhen SDMC Technology Co., Ltd. (the "Company") announced that, pursuant to the CSRC's Business Guidelines for the "Full Circulation" of Unlisted Domestic Shares of H-share Companies and the Trial Measures on the Administration of Overseas Securities Issuance and Listing by Domestic Enterprises, the board of directors approved on 24 September 2026 the proposed implementation of H-share Full Circulation, namely the conversion of 135,755 unlisted shares held by 15 domestic shareholders into H shares, representing approximately 0.06% of the Company's total issued share capital of 209,540,070 shares as of the date of the announcement.
The announcement disclosed that, upon obtaining all relevant approvals (including the CSRC filing) and complying with all applicable rules and regulations, the unlisted shares will be converted into H shares, and the Company will apply to the Stock Exchange for approval to list and trade such H shares on the Stock Exchange; under the Company's articles of association, the conversion and listing do not require shareholders' approval at a general meeting.
The Company stated that as of the date of the announcement, it has not yet submitted an application for the H-share Full Circulation to the CSRC, nor an application for the conversion and listing to the Stock Exchange, and the details of the implementation plan remain to be settled; the H-share Full Circulation and the conversion and listing may only be completed after the relevant procedures required by the CSRC, the Stock Exchange and other relevant domestic and overseas regulators are fulfilled, and the Company reminds shareholders and potential investors to exercise caution.
