XTALPI (02228.HK): Grants 668,920 Options, 453,890 RSUs at HK$8.385

NewTimeSpace News: On 23 September 2026, XtalPi Holdings Limited (stock code: 02228.HK) announced that, in accordance with the terms of the 2026 Share Scheme, it granted a total of 668,920 Share Options to 5 grantees and a total of 453,890 RSUs to 8 grantees, in each case subject to acceptance. The grantees are all employees of the Group, none of whom is a director, chief executive or substantial shareholder of the Company or any of their respective associates as at the date of the announcement.

The date of grant is 23 September 2026 and the exercise price is HK$8.385, being the highest of the closing price of HK$8.385 per Share on the date of grant, the average closing price of HK$7.793 per Share for the five business days immediately preceding the date of grant and the nominal value of US$0.00001 per Share. The exercise period is ten years from the date of grant, and the vesting period is 48 months, vesting in four tranches of 25% each on the first to fourth anniversaries of the date of grant. The RSUs carry no purchase price, vest on the same schedule and each gives the right to receive one Share on the vesting date. Each vesting is subject to an individual comprehensive performance assessment, and a clawback mechanism applies under which granted but unvested awards lapse automatically in specified circumstances.

Assuming all the awards are settled by allotment and issue of Shares, following the grants, 136,713,413 Shares underlying the Share Options and RSUs remain available for future grant under the scheme mandate limit of the share schemes. The grants do not require shareholders' approval.
