SUNSHINE PHARMA (06887.HK): Files CSRC Filing for H-share Full Circulation; 38.9m Domestic Shares to Convert

(the "Company") announced that on 23 September 2026 it submitted a filing application to the China Securities Regulatory Commission (the "CSRC") for the conversion of 38,921,690 domestic shares held by certain shareholders of the Company into H shares (the "H-share Full Circulation"), representing approximately 6.75% of the Company's total issued share capital as of the date of this announcement.

The announcement disclosed that, pursuant to the CSRC's Trial Measures on the Administration of Overseas Securities Issuance and Listing by Domestic Enterprises and the Business Guidelines for the "Full Circulation" of Unlisted Domestic Shares of H-share Companies, a company with H shares listed on the Stock Exchange may apply for the circulation of its unlisted domestic shares on the Exchange. Upon obtaining all relevant approvals (including the CSRC filing and the Stock Exchange's approval) and complying with all applicable laws and regulations, the relevant domestic shares will be converted into H shares, and the Company will apply for the listing and trading of such H shares on the Main Board.

The Company stated that, under its articles of association and applicable PRC law, it is not required to convene a shareholders' general meeting to approve the H-share Full Circulation and the conversion and listing. As of the date of this announcement, the Company's application has not yet been accepted by the CSRC and the details of the conversion and listing plan remain to be settled; the Company will make further announcements on progress as required under the Listing Rules and reminds shareholders and potential investors to exercise caution when dealing in the Company's securities.
