JIHONG CO (02603.HK): Controlling Shareholder Zhuang Hao Pledges and Releases 7.6m Shares Each

(the "Company") published an overseas regulatory announcement reproducing its notice on partial share pledge and release of pledge by its controlling shareholder and actual controller. Ms. Zhuang Hao, the Company's controlling shareholder and actual controller, recently completed procedures for partial share pledge and release of pledge.

The announcement disclosed that Ms. Zhuang pledged 7.6 million shares (executive locked shares), representing 11.43% of her holdings and 1.66% of total share capital, with a pledge start date of 22 September 2026 and maturity of 21 September 2028, with China Galaxy Securities Co., Ltd. as pledgee and for the purpose of repaying pledged financing. At the same time, she released 7.6 million pledged shares originally pledged on 27 September 2023 and released on 23 September 2026, also with China Galaxy Securities as pledgee.

As of the disclosure date, Ms. Zhuang holds 66.5031 million shares (14.52% of total share capital) with cumulative pledged shares of 22.4693 million, representing 33.79% of her holdings and 4.91% of total share capital. Her parties acting in concert hold an aggregate of 113.0154 million shares (24.68% of total share capital) with cumulative pledged shares of 26.6693 million, representing 23.60% of their holdings and 5.82% of total share capital.
