(stock code: 01713) announced that on 21 September 2026 after trading hours, it entered into the EPC general contracting contract and the construction supervision contract for the 2025 Rural Power Grid Consolidation and Improvement Project. The EPC general contracting contract was entered into by Hydropower Group and the project construction units with Construction Group, Materials Industry Group and Sichuan Energy Investment Integrated Energy, covering design (construction drawing design), construction and procurement of important equipment and materials for the 110kV, 35kV and above, and 10kV and below projects, with a duration of 214 calendar days. The bid price for the 10kV and below project is RMB 1,332,276,478 (tax inclusive), of which the share attributable to the Company's six subsidiaries is RMB 127,850,818 (tax inclusive). The contract adopts a provisional estimated lump sum price, with final settlement subject to the audit report, and the final settlement amount is expected to fluctuate by no more than 5% of the contract price.
The construction supervision contract was entered into with Sichuan Yilian at a bid price of RMB 27,858,597, of which the share attributable to the Company's six subsidiaries is RMB 2,027,371. The contract price is a fixed lump sum that also serves as the settlement price and will not be adjusted for changes in the audited amount, with a quality defect liability period of 12 months.
As Hydropower Group, Construction Group, Materials Industry Group, Sichuan Energy Investment Integrated Energy and Sichuan Yilian are connected persons of the Company, the transactions constitute connected transactions. The highest applicable percentage ratio for the 2025 Rural Power Grid Contracts on an aggregated basis exceeds 5% but is less than 25%, constituting discloseable transactions, and as the total consideration exceeds HKD 10,000,000, they are subject to reporting, announcement, circular and independent shareholders' approval requirements. The Company has established an Independent Board Committee and will appoint an independent financial adviser, with the circular expected to be despatched on or before 30 November 2026.
