(stock code: 09600) announced that, following friendly negotiations among the parties, the Company entered into a termination agreement after market close on 18 September 2026 with HK Ant Global Investment Co., Limited (the target company), the target company's shareholders Silicon Base Technology Limited and Ant Global Investment Co., Ltd, and the target company's beneficial owners Qu Zhaojuan and Yuan Xiaona, pursuant to which the parties agreed to terminate the memorandum of intent on the equity acquisition relating to the acquisition of all shares of the target company with effect from the date of the announcement, and the proposed acquisition will not proceed.
No party is required to pay compensation or bear legal liability to any other party in respect of the termination of the memorandum and the acquisition, and the termination does not constitute any party's admission of any breach, negligence or liability.
