On 18 September 2026, Hangzhou SF Intra-city Industrial Co., Ltd. (09699.HK) announced that Celestial Ocean Investments Limited, a wholly-owned subsidiary of SF Holding, acquired 45,844,000 H Shares of the Company by a block trade on the same date, representing approximately 4.9973% of the entire issued share capital (including treasury shares), lifting SF Holding's stake from approximately 58.4824% to approximately 63.4797%.

(09699.HK) announced that it was informed by Celestial Ocean Investments Limited, a wholly-owned subsidiary of S.F. Holding Co., Ltd. ("SF Holding"), that on 18 September 2026 it had acquired 45,844,000 H Shares of the Company by a block trade, representing approximately 4.9973% of the entire issued share capital (including treasury shares) of the Company.

As a result of the Acquisition, the shareholding in the Company directly and indirectly held by SF Holding will be increased from approximately 58.4824% (being 536,503,560 Shares) to approximately 63.4797% (being 582,347,560 Shares), based on the Company's total issued share capital (including treasury shares) as at the date of the announcement. Based on the information available to the Company and to the knowledge of the Directors, following the increase in shareholding and as at the date of the announcement, the Company will continue to comply with the public float requirement under the Listing Rules.

The Board is of the view that the increase in shareholding demonstrates the firm confidence of the Company's Controlling Shareholder in the business prospects and long-term value of the Company, and the Controlling Shareholder has indicated that it currently has no plan to reduce its shareholding in the Company.
