CLOUDBREAK-B (02592.HK): SFC suspends share trading amid investigation into suspected IPO manipulation

On 10 September 2026, the SFC directed the Stock Exchange, under section 8(1) of the Securities and Futures (Stock Market Listing) Rules, to suspend trading in the shares of Cloudbreak Pharma (02592.HK) from 9:00 a.m. that day, citing serious concerns that its initial public offering may have been artificially manipulated to create a false appearance of demand for its shares and that suspension is necessary or appropriate pending the investigation to maintain an orderly and fair market and protect the investing public; the investigation is ongoing and the SFC will not comment further, with the company listed on the Main Board since 3 July 2025.

NewTimeSpace News: On 10 September 2026, the Securities and Futures Commission (SFC) announced that it has, under section 8(1) of the Securities and Futures (Stock Market Listing) Rules, directed The Stock Exchange of Hong Kong Limited to suspend trading in the shares of Cloudbreak Pharma Inc. (stock code: 02592) with effect from 9:00 a.m. on 10 September 2026.

The SFC said it has serious concerns that the initial public offering of Cloudbreak Pharma may have been artificially manipulated to create a false appearance of demand for its shares. The SFC therefore considers it necessary or appropriate to suspend trading in the shares pending the ongoing investigation, in order to maintain an orderly and fair market for the shares and to protect the interests of the investing public. As the investigation is ongoing, the SFC will not comment further.

Under section 8(1) of the Securities and Futures (Stock Market Listing) Rules, the SFC may direct the Stock Exchange to suspend trading in the shares of a listed company where any document issued in connection with the listing of securities, or any announcement, statement, circular or other document made or issued by or on behalf of the listed company, contains information that is false, incomplete or misleading in a material particular; where suspension is necessary or appropriate to maintain an orderly and fair market; where suspension is appropriate in the interests of the investing public or the public interest; or where any condition imposed by the SFC board under section 9(3)(c) upon approving the resumption of trading has not been complied with. Cloudbreak Pharma has been listed on the Main Board of the Stock Exchange since 3 July 2025, and the investigation is conducted under section 182(1) of the Securities and Futures Ordinance.
