BOAN BIOTECH (06955.HK): Enters into Supplementary Agreement to Finance Lease, Confirming RMB 75 Million Purchase Price Unchanged

NewTimeSpace News: On 9 September 2026, Shandong Boan Biotechnology Co., Ltd. (stock code: 06955) announced that it had entered into a supplementary agreement on the same day with Industrial Financial Leasing Co., Ltd. in respect of the finance lease agreement dated 27 August 2026, under which both parties confirmed and agreed that the purchase price remains fair and reasonable.

According to the announcement, the purchase price under the finance lease agreement is RMB 75.00 million, originally determined through arm's length negotiations between the parties with reference to the book value of the leased assets as of 30 June 2026 (approximately RMB 100.00 million). Following the execution of the finance lease agreement, the parties agreed to adjust certain items of machinery and equipment constituting the leased assets, and the book value of the leased assets was updated accordingly. The supplementary agreement confirms that the purchase price of RMB 75.00 million was determined by reference to the book value of the adjusted leased assets as of 31 August 2026 (approximately RMB 100.61 million), taking into account estimated depreciation over the lease term and the condition and depreciation period of the leased assets. The purchase price remains unchanged at RMB 75.00 million.

Other than the above, all other terms of the finance lease agreement, including the purchase price of RMB 75.00 million, remain unchanged and the finance lease agreement remains in full force and effect. As the supplementary agreement does not involve any change to the purchase price or other material terms, the applicable percentage ratios and the classification of the finance lease agreement as a discloseable transaction of the company under Chapter 14 of the Listing Rules remain unchanged.
