MINSHENG EDU (01569.HK): HKIAC Issues Final Award on Option over 49% of Lide International Education, Exit Price of RMB 2.18 Billion

NewTimeSpace News: On 9 September 2026, Minsheng Education Group Company Limited announced that it had received on the same day a final award made by the Hong Kong International Arbitration Centre (HKIAC) on 8 September 2026. The arbitration concerns a dispute between the company's subsidiary, Minsheng Vocational Education Co., Ltd. (the respondent), and Leed Education Holding Limited, National Education Holding Limited and Hyde Education Holding Limited (the applicants) over options to sell a 49% interest in Lide International Education Group Limited under a share purchase agreement (SPA) entered into in 2018.

According to the announcement, the final award orders specific performance of the sale of the option shares upon the applicants' exercise of the options under the relevant terms of the SPA, at an exit price of RMB 2,180,735,576.50, together with payment of costs (approximately RMB 67.3 million in aggregate) and interest. Under the final award, completion of the specific performance remains subject to resolution of a question as to whether encumbrances over the relevant option shares must be discharged at or before completion.

Minsheng Vocational Education is seeking legal advice from its professional advisers in relation to the final award and reserves all rights to take necessary and appropriate action in respect of the arbitration, the partial award and the final award. The company has commenced legal proceedings before the Court of First Instance of the High Court of Hong Kong in July 2026 seeking to set aside the partial award, and such proceedings are ongoing as of the date of this announcement. The company reminded shareholders and potential investors to exercise caution when dealing in its securities.
