AMCO UNITED (00630.HK): Sells Entire Stake in BFB Health for Approximately HKD 10.56 Million, Expected Gain of about HKD 6.4 Million
NewTimeSpace News: On 8 September 2026, AMCO United Holding Limited (stock code: 00630) announced a discloseable transaction, having on the same day sold 24,556,500 shares of BFB Health Limited (stock code: 00205) to the purchaser, BFB Group Limited, at a consideration of approximately HKD 10,559,000 (excluding transaction costs), representing an average selling price of approximately HKD 0.43 per share, settled in cash upon completion. Following the sale, the company no longer holds any BFB Health shares.
According to the announcement, the highest applicable percentage ratio on a consolidated basis exceeded 5% but was below 25%, constituting a discloseable transaction for the company under Chapter 14 of the Listing Rules, subject to the reporting and announcement requirements. The purchaser is an independent third party of the company, whose largest ultimate beneficial owner is Mr. Wu Mansheng. BFB Health is a company incorporated in the Cayman Islands and continued in Bermuda, whose shares are listed on the Stock Exchange; it mainly sells health and wellness products through e-commerce channels, provides advertising and e-commerce businesses, securities broking services and money lending.
The company stated that listed securities investments are regarded as part of a diversified investment portfolio and long-term investments, and that the sale will help reduce position volatility risk, enhance asset liquidity, optimise its securities investment portfolio and increase cash reserves to further develop its existing medical business. The group has received proceeds of approximately HKD 10.6 million from the sale and expects to recognise a gain of approximately HKD 6.4 million (being the difference between the consideration before transaction costs and the relevant investment cost) after the auditors complete the final review, with the actual gain or loss subject to audit. The proceeds are intended to be used for general working capital, inventory procurement through optimisation of the medical product portfolio, and funding of future investments, and are expected to be fully utilised by 31 December 2026.
