RISECOMM GP (01679.HK): Independent non-executive director resigns, breaching Listing Rules requirements
NewTimeSpace News: On 4 September 2026, Risecomm Group Holdings Limited (stock code: 01679) announced that Mr. Zou Heqiang has resigned as an independent non-executive director of the Company due to devoting more time to his other business commitments, effective 4 September 2026. Mr. Zou has confirmed that he has no disagreement with the Board, and there are no matters relating to his resignation that need to be brought to the attention of the shareholders of the Company or the Stock Exchange.
Following Mr. Zou's resignation, the Company has two independent non-executive directors, and the audit committee of the Board comprises only two members, resulting in: (i) the total number of independent non-executive directors accounting for less than one-third of the board members, breaching the requirement under Rule 3.10A of the Listing Rules; and (ii) the number of independent non-executive directors and the number of audit committee members falling below the minimum numbers required under Rules 3.10(1) and 3.21 of the Listing Rules respectively.
The Board will identify suitable candidates to fill the vacancy as soon as practicable within three months from 4 September 2026, to ensure the Company's compliance with the Listing Rules; the Company will publish further announcements as soon as practicable after the appointment of the new independent non-executive director.
