HATCHER GROUP (08365.HK): Updates low-altitude economy investment, project to secure RMB 2 billion financing and 2,000-unit drone purchase commitment
NewTimeSpace News: On 2 September 2026, Hatcher Group Limited (stock code: 08365) issued a further voluntary announcement regarding its investment in a new business. Following the Company's announcement on 4 June 2026 regarding the acquisition of a 51% equity interest in Hong Kong Cross-border Aviation Technology Co., Ltd. ("Hong Kong Cross-border"), after fair negotiation with the seller, Qianyi Intelligent Technology Co., Ltd. ("Qianyi"), Qianyi repurchased 36% of the equity interest held by the Company at a consideration of HKD 1, and upon completion of the transaction, the Company holds a 15% equity interest in the target company. Qianyi intends to introduce more strategic partners and overseas investors, promote market expansion among Southeast Asian purchasers and implement a capital restructuring.
In respect of strategic cooperation, Hong Kong Cross-border has signed a strategic investment letter of intent (the "LOI") with Shenzhen Pengcheng Linghang Low-altitude Industry Co., Ltd. ("Pengcheng Linghang"). The cooperation framework under the LOI includes: commercial drones developed and manufactured by Hong Kong Cross-border holding airworthiness certifications (including type certificate, production licence, certificate of airworthiness for individual aircraft and design organisation approval), with the target project covering low-altitude economy cross-border logistics, and Phase 1 focusing on Greater Bay Area cross-border drone logistics and cargo transport; a 10% equity interest in Pengcheng Linghang to be transferred to Hong Kong Cross-border as consideration for technology input and industrial synergies; Pengcheng Linghang's commitment to procure an aggregate of 2,000 units at reasonable commercial prices to be agreed once the products are finalised and commercially ready for supply; and Pengcheng Linghang acting as the lead financier to introduce no less than RMB 2 billion in funding, while entrusting Qianyi with full responsibility for the commercial drone leasing business and Hong Kong Cross-border with daily flight operations, each with an eight-year cooperation term.
The Company noted that, given that the low-altitude economy industry has been designated as a national strategic pillar industry, the project intends to introduce hydrogen power, in line with the national "dual carbon" strategic goals; as a top-tier company in Hong Kong's commercial drone manufacturing industry, Hong Kong Cross-border will register subsequent relevant patents in its name with the Hong Kong Intellectual Property Department. The three parties intend to finalise the negotiation and signing of formal investment agreements within three months after the signing of the LOI. The Board emphasised that the LOI is not legally binding and the transactions contemplated thereunder may or may not proceed.
