CHINAHUAJUNGP (00377.HK): Completes Debt Capitalization, Issues 94 Million Shares to Creditors at HKD 1.0 per Share; Share Capital Increases to 187,491,851

NewTimeSpace News: On 2 September 2026, China Huajun Group Limited (stock code: 00377.HK) announced that all conditions precedent to the debt capitalization had been satisfied and the capitalization was completed on the same day, with 94 million capitalization shares allotted and issued to creditors at HKD 1.0 per share under the special mandate granted at an extraordinary general meeting.
Immediately before completion, the issued share capital was 93,491,851 shares; upon completion, it increased to 187,491,851 shares, with the capitalization shares representing approximately 50.14% of the enlarged issued share capital. In terms of shareholding, Huajun Group Limited, directly wholly owned by Mr. Meng Guangbao, held 44,450,619 shares, with its stake diluted from 47.54% to 23.71%; the creditors and Mr. Li Gang together with parties acting in concert with him held a total of 94,000,000 shares, representing 50.14% upon completion.
The debt capitalization was carried out under the special mandate granted by shareholders at the extraordinary general meeting held on 26 August 2026. The company also applied for a whitewash waiver in connection with the issue of new shares, as detailed in the circular dated 4 August 2026 and announcements dated 30 June 2026 and 26 August 2026.
