(02648.HK) announced that independent non-executive director Mr. Zhang Yueping has resigned from his roles as independent non-executive director, chairman of the Sustainable Development Committee and member of the Remuneration and Assessment Committee due to personal work arrangements. As the resignation would reduce the proportion of independent non-executive directors below one-third, it will take effect after the shareholders' general meeting elects a successor, with the by-election to be completed within sixty days.

(stock code: 02648) announced that Mr. Zhang Yueping, an independent non-executive director, has submitted a written resignation to the Board due to personal work arrangements, applying to resign as independent non-executive director, chairman of the Board's Sustainable Development Committee and member of the Remuneration and Assessment Committee.

According to the announcement, Mr. Zhang's resignation would reduce the proportion of independent non-executive directors on the Board to below one-third. In accordance with relevant laws, regulations and the Articles of Association of the Company, his resignation will take effect after the shareholders' general meeting elects a new independent non-executive director. Until the resignation becomes effective, Mr. Zhang will continue to perform his duties as independent non-executive director and his roles on relevant Board committees. His original term of office was scheduled to expire on May 20, 2029.

Mr. Zhang confirmed that he has no disagreement with the Board during his tenure and no other matters relating to his resignation require the attention of the Company's security holders or the stock exchange where the Company is listed. He has no unfulfilled public commitments and will complete outstanding matters involving the Company on the basis of good faith after his resignation. The Company will complete the by-election of a new independent non-executive director within sixty days in accordance with the Administrative Measures for Independent Directors of Listed Companies, and will fulfill its information disclosure obligations in a timely manner.
