JOINN (06127.HK): Subsidiaries Sign Three-Year Lease Agreements with Joinn Biologics Group, Transaction Fully Exempt as De Minimis Connected Transaction
NewTimeSpace News: On 28 August 2026 after market close, JOINN Laboratories (China) Co., Ltd. (stock code: 06127) announced that the Company, Joinn (Beijing) Testing and Joinn Drug Inspection, all subsidiaries of the Company, had respectively entered into lease agreements with the Joinn Biologics Group for a term of three years commencing from 1 September 2026, to continue leasing the leased properties located in Daxing District, Beijing.
According to the announcement, the estimated values of the right-of-use assets to be recognized under the three lease agreements are approximately RMB 2,332,732.96, RMB 5,514,096.69 and RMB 2,861,195.86 respectively. As Joinn Biologics is an associate of the controlling shareholders (91.07% held by Joinn Biologics (HK)), the lease agreements constitute connected transactions; however, since the highest applicable percentage ratio is below 0.1%, the transactions qualify for the de minimis exemption under Rule 14A.76(1)(a) of the Listing Rules and are fully exempt from the reporting, annual review, announcement, circular and independent shareholders' approval requirements. This announcement is made on a voluntary basis.
Ms. Feng Yuxia, executive director and chairman of the Board, Mr. Gao Dapeng, executive director, and Mr. Zhou Fengyuan, non-executive director, abstained from voting on the board resolutions approving the lease agreements due to their connected relationships with Joinn Biologics.
