QIAN XUN TECH (01640.HK): Disposes Entire Stake in Qian Xun HK for RMB 200,000, Constituting a Major Transaction

NewTimeSpace News: On 28 August 2026, QIAN XUN TECH (01640.HK) announced that it had entered into a sale agreement with Mr. Wu Dan to dispose of the entire issued share capital of Qian Xun HK for RMB 200,000; the disposal group has not actively operated since 2025 and the Company expects a slight loss of approximately RMB 400,000, with the disposal constituting a major transaction under Chapter 14 of the Listing Rules requiring shareholders' approval.

NewTimeSpace News: On 28 August 2026 after trading hours, Qian Xun Technology Limited (stock code: 01640) announced that the Company had entered into a sale agreement with Mr. Wu Dan, conditionally agreeing to sell its entire equity interest in Qian Xun HK (being the entire issued share capital of Qian Xun HK) for a consideration of RMB 200,000.

According to the announcement, Qian Xun HK is a directly wholly-owned subsidiary of the Company, and together with three PRC subsidiaries forms the disposal group, which has not actively carried out any business activities since 2025 and had an unaudited consolidated net asset value of approximately RMB 200,000 as of 30 June 2026. Based on the net asset value of the disposal group and the consideration, the Company expects to record a slight loss of approximately RMB 400,000 from the disposal.

As one or more percentage ratios exceed 25% but all are below 75%, the disposal constitutes a major transaction under Chapter 14 of the Listing Rules, subject to the reporting, announcement, circular and shareholders' approval requirements; a circular containing further details of the disposal is expected to be despatched on or before 30 September 2026, and an extraordinary general meeting will be convened.
