SDHG (00412.HK): Choice Faith Completion of Very Substantial Disposal of VNET Group Shares; 30% of Consideration Received

NewTimeSpace News: On 24 August 2026, Shandong Hi-Speed Holdings Group Limited (stock code: 00412.HK) announced that, in relation to the very substantial disposal of shares in the VNET Group, the Choice Faith completion occurred on 24 August 2026 (the Choice Faith Completion Date). The vendor has received in full the Choice Faith completion consideration, representing 30% of the consideration, and the purchaser has received the Choice Faith sale shares, representing 30% of the sale shares.

According to the announcement, the shareholders approved the share purchase agreement and the transactions contemplated thereunder on 15 July 2026, and the conditions precedent under the share purchase agreement have been satisfied and remain satisfied. On 10 August 2026, the purchaser issued a Choice Faith completion notice to the vendor in respect of the Choice Faith sale shares under the share purchase agreement, requesting an independent early completion (the Choice Faith completion) and designating 24 August 2026 as the completion date.

Pursuant to the share purchase agreement, the Success Flow completion will take place on the completion date, and the Company will publish a further announcement in respect of the Success Flow completion in due course.
