XINTE ENERGY (01799.HK): Nan Xinjian Resigns as General Manager and Executive Director; Wang Bin Appointed General Manager and Proposed as Executive Director

(01799.HK) announced that, due to the need to devote more time to personal family matters, Mr. Nan Xinjian has resigned as the company's general manager, executive director and member of the board's remuneration and assessment committee, effective from the date of the announcement; Mr. Nan will continue to hold other positions in the company after his resignation, and has confirmed there is no disagreement with the board.

Following deliberation and approval at a board meeting, Mr. Wang Bin (aged 38) has been appointed as general manager, with a term from the date of the announcement until the expiry of the term of the fifth board. Mr. Wang holds a bachelor's degree and is a mid-level engineer in photovoltaic silicon-based/polysilicon and a Project Management Professional (PMP); he previously served as overseas marketing manager of TBEA Co., Ltd., manager of the market management division of the international market department, assistant director, deputy director, and director of the president's office. Mr. Wang has also been nominated for proposed appointment as an executive director and member of the board's remuneration and assessment committee, subject to approval by shareholders by way of an ordinary resolution at a general meeting, with the term from the date of approval to the expiry of the term of the fifth board. Mr. Wang holds 104,000 shares of TBEA, the controlling shareholder, representing approximately 0.002% of TBEA's total issued shares. Director allowances will be determined under the 2026 director allowance scheme approved by shareholders (annual allowance of RMB 160,000 (pre-tax) for each director other than independent non-executive directors).
