DETAI NEWENERGY (00559.HK): Enters Memorandum of Understanding for Proposed Acquisition of HKD 505 Million; Trading Remains Suspended

NewTimeSpace News: On 21 August 2026, DETAI NEWENERGY (00559.HK) entered an MOU to acquire a target group holding a four-star Macau hotel for a total consideration of HKD 505 million (cash not exceeding HKD 255 million plus promissory notes), subject to shareholders' approval; trading has been suspended since 13 April and remains suspended.

NewTimeSpace News: On 21 August 2026, Detai New Energy Group Limited (00559.HK) voluntarily announced that the seller, the company (as purchaser) and the target company entered into a memorandum of understanding (MOU) on the same day, under which the seller proposes to sell and the company proposes to purchase the sale shares and sale loans for a total consideration of HKD 505,000,000, subject to the terms of a sale and purchase agreement (SPA) to be entered into by the parties. The company is under no obligation to purchase any sale shares or sale loans unless the purchases of all sale shares and sale loans are completed simultaneously.

The total consideration will be paid partly in cash (not exceeding HKD 255 million), with the balance settled by the purchaser through the issue of promissory notes; the final consideration will be adjusted in accordance with the target company's consolidated net assets after the declaration/payment of pre-completion dividends on the completion date. The MOU grants the company exclusivity, under which the seller will not solicit, initiate or encourage any enquiry or offer from any person or entity other than the company for the sale or disposal of the sale shares and sale loans or interests in the target group, from the MOU date until the final deadline (30 calendar days from the MOU date). Except for certain provisions (including exclusivity, confidentiality, termination and governing law), the MOU does not create any legally binding obligations on the parties.

The target company is a company incorporated in the British Virgin Islands, whose sole shareholder is the seller (an investment holding company incorporated in Bermuda). The principal business of the target group is the operation of the hotel, a four-star hotel in Macau with 441 rooms, which commenced operations in 1997 and underwent a full renovation in 2005. Through the acquisition of the target group, the group will, in addition to its hotel business in Niseko, Japan, own a year-round urban hotel business in Macau, one of Asia's major tourism hubs. Completion of the SPA is conditional upon the passing of an ordinary resolution by the company's shareholders at a general meeting, including approval of the company's execution of the promissory notes. Under the Listing Rules, the proposed acquisition, if materialised, may constitute a notifiable transaction of the company.

At the company's request, trading in its shares has been suspended on the Stock Exchange since 9:00 a.m. on 13 April 2026, and will remain suspended until further notice. The directors emphasise that, as of the date of the announcement, the group has not entered into any final agreement for the proposed acquisition, which may or may not proceed.
