SIMCERE PHARMA (02096.HK): Zhu Da appointed Joint Company Secretary succeeding Wan Yushan, waiver granted from company secretary qualification requirements

NewTimeSpace News: On 21 August 2026, Simcere Pharmaceutical Group Limited (stock code: 02096) announced that Mr. Wan Yushan has ceased to serve as Joint Company Secretary, effective 20 August 2026, and will continue to serve as Executive Director and Chief Financial Officer; the current Board Secretary Mr. Zhu Da has been appointed as Joint Company Secretary in addition to his existing role, effective the same day, with the other Joint Company Secretary Ms. Mai Baowen remaining in office.

According to the announcement, Mr. Zhu, aged 34, was appointed as Board Secretary on 21 August 2024, with over 12 years of experience in investment banking and corporate management, having served as Senior Vice President in the Investment Banking Division of Morgan Stanley Asia and as analyst and manager in the Investment Banking Division of CICC. As Mr. Zhu does not hold the company secretary qualifications required under Rule 3.28 of the Listing Rules, the Company has been granted a waiver by the Stock Exchange from strict compliance with Rules 3.28 and 8.17 for a period of three years from 20 August 2026, subject to the conditions that Mr. Zhu be assisted by the qualified Ms. Mai and that the waiver may be revoked in case of serious breach of the Listing Rules.
