POLY XVERSE IT (00209.HK): Kwok Kin Wai resigns as Independent Non-Executive Director, Ng Ka Yiu appointed

NewTimeSpace News: On 19 August 2026, Poly Xverse Intelligent Technology Co. Ltd. (stock code: 00209) announced that Mr. Kwok Kin Wai has resigned as Independent Non-Executive Director and a member of each of the Audit Committee, Remuneration Committee and Nomination Committee due to other business arrangements, effective 19 August 2026; Mr. Ng Ka Yiu has been appointed as Independent Non-Executive Director and a member of the above committees, effective the same day.

According to the announcement, Mr. Ng, aged 46, has over 20 years of experience in capital market-related consulting, audit and tax advisory services, having provided financial and tax advisory services to more than 20 listed companies in and outside China; he has served as Chairman and General Manager of Hengqin Yihe Heyi Fund Management Co., Ltd. since 2017, currently serves as an Independent Non-Executive Director of Zhongmiao Holdings (Qingdao) Co., Ltd. (01471.HK), and served as an Independent Non-Executive Director of Zhengye Biotechnology Holding Limited (Nasdaq: ZYBT) from January 2025 to March 2026. Mr. Ng is a registered internal auditor and a member of the Institute of Internal Auditors, holding fund practitioner qualifications.

The announcement states that Mr. Ng has entered into an appointment letter with the Company for a term of three years from 19 August 2026, entitled to a monthly directors' fee of HKD 10,000 with no other remuneration within the Group, and has confirmed his independence in all respects under Rules 3.13(1) to (8) of the Listing Rules.
