HENGRUI PHARMA (01276.HK): Proposes Adoption of 2026 H-Share Scheme with Mandate Limit of Not More Than 1,000,000 H Shares

NewTimeSpace News: On 19 August 2026, HENGRUI PHARMA (01276.HK) announced that its board proposed the adoption of the 2026 H-share scheme, granting awards in restricted share units with a mandate limit of not more than 1,000,000 H shares, representing approximately 0.4% of issued H shares, subject to Chapter 17 of the Listing Rules and effective upon a special resolution at an extraordinary shareholders' meeting.

NewTimeSpace News: On 19 August 2026, Jiangsu Hengrui Pharmaceuticals Co., Ltd. (stock code: 01276) announced that its board resolved to propose the adoption of the 2026 H-share scheme, which will become effective upon approval at the forthcoming first extraordinary shareholders' meeting in 2026. The scheme grants awards in the form of restricted share units, with the purposes of improving the corporate governance structure, establishing a long-term incentive mechanism, recognizing the contributions of selected participants, including directors, senior management and other key personnel, and attracting, motivating and retaining suitable and skilled talent.

The mandate limit of the 2026 H-share scheme, being the total number of new H shares, existing H shares and/or treasury H shares underlying all awards that may be granted under the scheme, will not exceed 1,000,000 H shares, representing not more than approximately 0.4% of the total issued H shares (excluding treasury shares) at the date of adoption. Unless the mandate limit is renewed with shareholders' approval or shareholders' approval is obtained under the Listing Rules, the company may not grant further awards that would cause the mandate limit to be exceeded.

As the scheme will be satisfied by new H shares, existing H shares and/or treasury H shares of the company, it constitutes a share scheme involving the issue of new shares and its terms are subject to Chapter 17 of the Listing Rules. The adoption is conditional upon a special resolution at the shareholders' meeting. A circular containing the details of the scheme and the notice of the shareholders' meeting will be published on the HKEX website and the company's website as soon as practicable.
