NAMESON HLDGS (01982.HK): enters into facility letter for up to HKD 262.9 million three-year loan, committing Wong Ting Chung family to maintain not less than 50% equity
NewTimeSpace News: On 19 August 2026, Nameson Holdings Limited (stock code: 01982) announced that the Company (as borrower) entered into a facility letter with a bank (as lender) on 19 August 2026 for a three-year loan facility with an aggregate amount of up to HKD 262,928,800.
According to the announcement, under the facility letter, the Company has undertaken to the lender that Mr. Wong Ting Chung and/or his family members will maintain ownership of not less than 50% of the Company's equity and maintain more than half of the Company's management control. As of the date of this announcement, Mr. Wong Ting Chung is the beneficial owner of 200,000,000 shares of the Company and, as a beneficiary of the Ting Huai Trust, is deemed (together with Mr. Wong Ting Chun and Mr. Wong Ting Kau) to be interested in the 1,500,000,000 shares held by Nameson Investment Limited; the three persons jointly hold, directly or indirectly, approximately 74.6% of the Company's issued share capital. Breach of the above specific performance obligations would constitute an event of default under the facility letter, upon which all amounts payable or owing by the Company to the lender (including principal and interest) shall become immediately due and payable.
