PHOENIX TV (02008.HK): Two Non-Executive Directors Resign; Guo Yutong Appointed as Replacement
NewTimeSpace News: On 14 August 2026, Phoenix Media Investment (Holdings) Limited (stock code: 02008.HK) announced that Mr. Qiu Baohua has resigned as non-executive director and member of the remuneration committee, and Mr. Cui Xian has resigned as non-executive director and member of the audit committee and the risk management committee, both due to other work arrangements, with effect from 14 August 2026. Each of Mr. Qiu and Mr. Cui has confirmed that he has no disagreement with the board and that there are no matters relating to his resignation requiring the attention of the Stock Exchange and the Company's shareholders.
The board also announced that Ms. Guo Yutong has been appointed as a non-executive director of the Company, with effect from 14 August 2026, and has been appointed as a member of the audit committee and the risk management committee in place of Mr. Cui. Ms. Guo, aged 43, is a CFA charterholder and a certified public accountant. She currently serves as deputy head of the Consumer and Financial Investment Department of Bank of China Group Investment Limited, leading the department's work. Prior to joining BOCGI, she worked at the head office of Bank of China from 2013 to 2025, serving as senior manager in the Investment Banking and Asset Management Department and the Corporate Banking and Investment Banking Department, and worked at PricewaterhouseCoopers from 2008 to 2012. Ms. Guo graduated from the University of International Business and Economics with a master's degree in international finance.
Ms. Guo has entered into an appointment letter with the Company for a term of three years from 14 August 2026, terminable by either party giving not less than three months' prior notice. Consistent with other incumbent non-executive directors, Ms. Guo will not receive any director's fee or other remuneration from the Company for her services as non-executive director or member of board committees. Pursuant to Article 83(3) of the articles of association, Ms. Guo will hold office until the Company's first annual general meeting following her appointment, at which she will be eligible for re-election.
