CHIHO ENV (00976.HK): Clarifies That Scholz Holding and Scholz Recycling Interests Have Been Sold to Derichebourg Environnement

NewTimeSpace News: On 14 August 2026, Chiho Environmental Group Limited (stock code: 00976.HK) issued a clarification announcement in respect of its announcement dated 12 August 2026 concerning the sale of subsidiaries by the receiver. Following receipt of a letter dated 31 July 2026 from the receiver's legal adviser, the Company has taken steps to verify the sale of Scholz Holding GmbH (SHG) and Scholz Recycling GmbH (SRG), including seeking clarification from the receiver's legal adviser and instructing its own legal adviser to verify the relevant circumstances with the relevant public registries in Germany.

According to the announcement, based on information obtained from the German Commercial Register (Handelsregister) and the verification conducted to date, the shareholders of SHG and SRG have been changed to Derichebourg Environnement SAS, and the Company therefore has reason to believe that 100% of the share capital of both SHG and SRG has been sold. The Company understands that 100% of the shares of SHG and 80% of the shares of SRG have been sold; as SHG holds 20% of the shares of SRG, the transfer of 100% of the shares of SHG effectively transferred 20% of the shares of SRG. The Company is making further enquiries with the receiver to clarify the details of the sale of SHG and SRG.

In addition, trading in the Company's shares has been suspended on the Stock Exchange since 1 April 2025 at 9:00 a.m. and will remain suspended until further notice, pending fulfillment of the resumption guidance. Shareholders and potential investors are advised to exercise caution when dealing in the Company's shares.
