According to the announcement, on 12 August 2026 the Company entered into the Partnership Agreement of Hainan Times Green Industry Investment Fund Partnership (Limited Partnership) with Xiamen Puchuan Private Fund Management Partnership (Limited Partnership) and Hainan Free Trade Port Construction Investment Fund Co., Ltd. As a limited partner, the Company will participate in the investment in the proposed Hainan Times Green Industry Investment Fund Partnership (Limited Partnership), with a capital commitment of RMB 2,475 million, representing a 49.50% interest in the fund. The aggregate committed capital of the fund is RMB 5,000 million, of which Xiamen Puchuan, as general partner and executive partner, commits RMB 25 million (0.50%); Hainan Free Trade Port Construction Investment Fund Co., Ltd., as limited partner, commits RMB 2,500 million (50.00%); and CATL commits RMB 2,475 million (49.50%), all in cash.

The fund is organised as a limited partnership with a term of 8 years from its establishment, investing primarily through equity investment and focusing on green zero-carbon industries in Hainan Province. Xiamen Puchuan serves as the general partner and fund manager, responsible for managing fund operations, executing external investments, post-investment management and investment exits; the fund will establish an investment decision committee comprising four members, and matters require approval by three-quarters or more (inclusive) of all voting committee members. The Company's accounting treatment of the fund will follow the Ministry of Finance's Accounting Standards for Business Enterprises and relevant regulations, and the fund will not be consolidated into the Company's financial statements.

Pursuant to the Shenzhen Stock Exchange ChiNext Listing Rules and the Company's articles of association, this investment falls within the approval authority of the Company's general manager and does not require approval by the Board or shareholders' meeting; the investment does not constitute a connected transaction or a major asset restructuring. The Company stated that the investment is primarily aimed at expanding its presence in the carbon-neutral ecosystem by leveraging market-oriented mechanisms and the strengths of professional investment institutions, with the funding sourced entirely from its own funds and without affecting its normal production and operation. The announcement also cautions that the fund is currently at the preparatory stage, has not yet completed industrial and commercial registration, and is subject to filing with the Asset Management Association of China, with certain uncertainties in the implementation process.
