SIRNAOMICS-B (02257.HK): Completes subscription of 2,435,600 new shares, net proceeds of approximately HKD 11.3 million for working capital

NewTimeSpace News: On 12 August 2026, Sirnaomics Ltd. (stock code: 02257) announced that all conditions precedent under the subscription agreement have been fulfilled and the subscription was completed on 12 August 2026. A total of 2,435,600 subscription shares (representing approximately 2.17% of the issued shares immediately after completion) have been allotted and issued to the subscriber(s) at a subscription price of HKD 4.69 per share pursuant to the terms and conditions of the subscription agreement. The net proceeds from the subscription amount to approximately HKD 11.3 million, which the Group intends to use as general working capital.

The announcement disclosed that the total number of issued shares increased from 109,721,538 immediately before completion to 112,157,138 immediately after completion. In terms of shareholding structure, the interests of Dr. Pan Honghui (holding 17,527,696 shares through Quarmaceutical Limited, which he wholly owns, plus 158,300 shares beneficially owned by him, totalling 17,685,996 shares), being a director, chief executive officer, substantial shareholder and their close associates, were diluted from 16.12% to 15.77%. The subscriber(s) increased their holding from 1,012,500 shares (0.92%) to 3,448,100 shares (3.07%), while other public shareholders maintained 91,023,042 shares, with their percentage decreasing from 82.96% to 81.16%.
