C-MER MEDICAL (03309.HK): Completion of Subscription and Acquisition of Equity in Beijing Zhongyin Technology, Holding Approximately 10.23% of Enlarged Issued Share Capital

NewTimeSpace News: C-MER Medical Holdings Limited (stock code: 03309) issued a completion announcement on August 10, stating that all conditions precedent under the C-MER Series B investment agreement and the respective share purchase agreements have been fulfilled or waived (as the case may be), and the C-MER Series B investment and the share purchases have been completed as of the date of this announcement. Upon the full completion of the transactions, Hong Kong (International) Eye Medical holds 996,070 shares of the target company, representing approximately 10.23% of the enlarged issued share capital; from an accounting perspective, the Company will not consolidate the financial performance of the target company into its financial statements.

Reference is made to the Company's announcements dated May 20, 2026 and June 30, 2026, in relation to the subscription and acquisition of the share capital of Beijing Zhongyin Technology Co., Ltd. (the "Target Company"). According to the announcement, as of the date of this announcement, Hong Kong (International) Eye Medical has entered into a legally binding agreement with the Target Company, which is one of the transaction documents. The legally binding agreement provides, among other things: (i) upon satisfaction of the conditions precedent (i.e., approvals from the National Medical Products Administration and the competent authorities in Hong Kong and Macao), the exclusive rights will be granted in perpetuity; (ii) the revenue share attributable to the Group will not be inferior to any similar agreement entered into or to be entered into by the Target Company in respect of the ZVS101e application; and (iii) any dispute arising from or in connection with the agreement shall be referred to the Hong Kong International Arbitration Centre (HKIAC) for mediation in accordance with its mediation rules in effect at the time.
