NUR HOLDINGS (00254.HK): Signs Strategic Cooperation MOU with Guangdong Dayuanbang Smart Health Management Services Co., Ltd. for Health Industry Projects

NewTimeSpace News: NUR HOLDINGS (00254.HK) announced that the Company has signed a strategic cooperation MOU with Guangdong Dayuanbang Smart Health Management Services Co., Ltd., intending to cooperate on health industry projects covering healthy sleep, wellness hotels and health management services (including establishing joint ventures, equity or asset acquisitions and brand cooperation); the MOU is not legally binding and no specific agreement has been reached.

NewTimeSpace News: National United Resources Holdings Limited (stock code: 00254) announced on August 7 that the Company has entered into a strategic cooperation memorandum of understanding (the "MOU") with Guangdong Dayuanbang Smart Health Management Services Co., Ltd. ("Dayuanbang"), under which the Company intends to establish a strategic cooperative partnership with Dayuanbang for health industry projects.

According to the announcement, the two parties intend to cooperate in areas including healthy sleep, wellness hotels, health management services and related products and application scenarios, with cooperation methods including but not limited to establishing joint ventures, equity or asset acquisitions, brand cooperation and market-oriented expansion. The two parties will set up a working group to advance the cooperation, and specific cooperation matters will be implemented through separate cooperation agreements to be negotiated and signed by the two parties.

Dayuanbang is a limited liability company incorporated under the laws of the People's Republic of China, principally engaged in remote health management services, sales of health food (pre-packaged), elderly care services, property management and related health industry services. Its ultimate beneficial owners are Mr. Zhan Qianying and Mr. Zhan Songgen. Based on all reasonable enquiries made by the Directors, Dayuanbang and its shareholders are independent third parties independent of the Company and its connected persons.

The Board considers that the MOU was entered into after fair negotiation between the Company and Dayuanbang, and any formal agreement that may be reached in respect of the proposed cooperation will be entered into on normal commercial terms and is in the interests of the Company and its shareholders as a whole. The Board believes that entering into the MOU will help promote the expansion of the Group's business scope, enhance the Group's capability to bear operational risks, and is in line with the Group's future diversified development direction.
