IMMUNEONCO-B (01541.HK): Subsidiary Yiming Kaier receives RMB 50 million capital increase from Shengke Qihang and other investors; Company to hold approximately 68.34% upon completion

NewTimeSpace News: IMMUNEONCO-B (01541.HK): The Company's non-wholly-owned subsidiary Yiming Kaier received a capital increase of RMB 50 million in total consideration from investors including Shengke Qihang, Xinjie Chuangyuan and Mr. Wang Xueyan, with the investors subscribing for approximately 15.83% of the enlarged equity; upon completion the Company will hold approximately 68.34%, the target company will remain a non-wholly-owned subsidiary, and the transaction is fully exempt from Chapter 14 of the Listing Rules.

NewTimeSpace News: ImmuneOnco Biopharmaceuticals (Shanghai) Inc. (stock code: 01541) published a voluntary announcement, announcing that on 6 August 2026 the Company entered into a capital increase agreement with Yiming Kaier Biopharmaceutical Technology (Shanghai) Co., Ltd. (the target company, a non-wholly-owned subsidiary of the Company), Jiaxing Zhangke Lingyi Shengke Qihang Venture Capital Partnership (Limited Partnership) (Shengke Qihang), Suzhou Xinjie Chuangyuan Enterprise Management Partnership (Limited Partnership) (Xinjie Chuangyuan) and Mr. Wang Xueyan. The investors agreed to subscribe for an aggregate of RMB 465,000 of the enlarged registered capital for a total consideration of RMB 50 million, representing approximately 15.83% of the enlarged equity interest of the target company; in parallel, the outstanding principal and accrued interest of RMB 15,860,000 in aggregate owed by the target company to the Company under existing loans will be converted into RMB 147,498 of the enlarged registered capital at the same subscription price per share of registered capital applicable to the investors.

Upon completion of the capital increase, the target company will be held approximately 68.34%, 15.83%, 6.33%, 6.33% and 3.17% by the Company, Jiaxing Changxin, Shengke Qihang, Xinjie Chuangyuan and Mr. Wang respectively, and will remain a non-wholly-owned subsidiary of the Company with its financial results continuing to be consolidated into the Group's financial statements. The target company is a limited liability company established on 4 January 2024, focusing on the development of innovative drugs for metabolic diseases and rare diseases; Shengke Qihang is principally engaged in investment in the biopharmaceutical industry, Xinjie Chuangyuan focuses on early-stage investment in frontier healthcare innovation, and Mr. Wang Xueyan is an individual investor with extensive investment experience in biopharmaceuticals and innovative pharmaceuticals, with all investors being independent third parties.

The Company stated that, by introducing external professional investors, the capital increase not only provides an additional fundraising channel for the target company and strengthens its overall financial position, but also brings industry experience, strategic resources and networks to support the target company's continuous R&D efforts, in line with the Group's long-term strategic development goals. As all applicable percentage ratios calculated under Rule 14.07 of the Listing Rules are below 5%, the transactions contemplated under the capital increase agreement do not constitute discloseable transactions; given that the previous capital increase and the capital increase both occurred within 12 months, the transactions, when aggregated under Rule 14.22 of the Listing Rules, remain fully exempt from the reporting, announcement and shareholders' approval requirements under Chapter 14 of the Listing Rules.
