NewTimeSpace News:VICO INTL HLDGS(01621.HK) announced that Ms. Wu Yingsi has resigned as Independent Non‑executive Director and member of the Audit Committee, Remuneration Committee and Nomination Committee with effect from 5 August 2026 due to personal matters and work arrangements. Following her resignation, the Company fails to comply with several Listing Rules requirements concerning the minimum number of Independent Non‑executive Directors (at least three), minimum size of the Audit Committee (at least three), composition of the Remuneration Committee and gender diversity of the Nomination Committee.

Ms. Wu Yingsi has tendered her resignation as Independent Non‑executive Director effective 5 August 2026 due to personal matters and work arrangements, and ceases to serve as member of the Audit Committee, Remuneration Committee and Nomination Committee. Ms. Wu has confirmed that there is no disagreement with the Board.

Upon Ms. Wu’s resignation, the Company is not in compliance with multiple Listing Rules provisions: the Board has only two Independent Non‑executive Directors, falling short of the requirement for at least three; the Audit Committee comprises only two members, less than the minimum requirement of three; the Remuneration Committee has two members with only one Independent Non‑executive Director, failing the requirement that Independent Non‑executive Directors form a majority; the Nomination Committee consists of members of a single gender only, which breaches the requirement to include at least one director of a different gender.

The Company is identifying suitable candidates to fill the vacancies and will restore compliance with relevant requirements as soon as practicable.
