NewTimeSpace News: HashKey Holdings Limited (03887.HK) announced on 30 July that it has entered into a non-binding framework agreement for the acquisition of all equity interests in Asia Pacific Exchange Pte. Ltd. The target group holds Singapore’s Recognised Market Operator licence and Recognised Clearing House licence, owning complete financial market infrastructure. The proposed acquisition remains subject to due diligence, regulatory approvals and execution of definitive agreements and may or may not proceed. Key terms including consideration have not yet been finalised.
NewTimeSpace News: On 29 July 2026, HashKey Holdings Limited (03887.HK) issued a voluntary announcement. HKDAG SG, a wholly-owned subsidiary of the Company, entered into a non-binding framework agreement dated 22 July 2026 with the principal shareholders of the target company Asia Pacific Exchange Pte. Ltd. and the target company in relation to the acquisition of all its equity interests.
The target group operates Asia Pacific Exchange Pte. Ltd. in Singapore, which holds the licences of Recognised Market Operator and Recognised Clearing House in Singapore and possesses comprehensive financial market infrastructure.
The Company stated that the proposed acquisition offers an attractive opportunity to build a more scalable regulated hub in Singapore, consistent with its strategy of developing a diversified cross-jurisdictional fintech platform. The acquisition is conditional on satisfactory due diligence, obtaining approval from the Monetary Authority of Singapore and execution of definitive agreements, and may or may not materialise. Material terms such as consideration and payment arrangements have not yet been determined.
