SINOMAB BIO-B (03681.HK): Proposed Disposal of Suzhou Property and Facilities at RMB280 Million

NewTimeSpace News: SinoMab Bioscience Limited (03681.HK) announced that its wholly-owned subsidiary, Xinglian Pharmaceutical (Suzhou) Co., Ltd., entered into a Sale and Purchase Agreement with the purchaser Suzhou Yigong Pinyuan Biomedicine Co., Ltd. and the guarantor on 6 July 2026, for the disposal of industrial land and supporting facilities located in Suzhou Industrial Park at a total consideration of RMB280 million. The target assets cover a total land area of approximately 43,158.21 square metres with a total construction area of around 71,315.23 square metres, including production plants, office buildings and warehouses.
NewTimeSpace News: SinoMab Bioscience Limited (03681.HK) issued an announcement dated 6 July 2026. The Vendor, Xinglian Pharmaceutical (Suzhou) Co., Ltd. (a wholly-owned subsidiary of the Company), entered into a Sale and Purchase Agreement with the Purchaser Suzhou Yigong Pinyuan Biomedicine Co., Ltd. and the Guarantor, pursuant to which the Vendor conditionally agreed to dispose of the Target Assets for a consideration of RMB280 million. The Target Assets comprise the right to use a parcel of industrial land in Suzhou Industrial Park with a total land area of approximately 43,158.21 sq.m. and total construction floor area of roughly 71,315.23 sq.m., encompassing manufacturing workshops, office premises, warehouses and auxiliary facilities.
The consideration was determined via arm’s length negotiations, taking into account the prime location of the Target Assets (within walking distance of a metro station), their ready-for-operation condition, purpose-built design for commercial-scale large-molecule biologic manufacturing, prevailing market conditions and comparable asset transactions. An independent valuer assigned a preliminary valuation of RMB265 million as at 30 June 2026.
The consideration shall be settled in four tranches:A deposit of RMB2.8 million to be offset against the first instalment;RMB53.2 million to be paid within 10 business days upon completion;RMB196 million to be settled upon submission of the title transfer application;The remaining 10% (RMB28 million) payable at completion of the transfer procedures.
