NewTimeSpace News: Value Convergence Holdings Ltd. (00821.HK) announced that all conditions precedent under the placing agreement have been satisfied and the placing was completed on 6 July 2026. An aggregate of 41,788,000 placing shares were successfully allotted to not less than six placees at HK$0.218 per share, generating gross proceeds of around HK$9.1 million and net proceeds of approximately HK$8.9 million, to be applied for general working capital purposes.
NewTimeSpace News: Value Convergence Holdings Ltd. (00821.HK) issued an announcement dated 6 July 2026. All conditions precedent set out in the placing agreement have been fulfilled, and the placing completion took place on 6 July 2026.
A total of 41,788,000 placing shares were successfully placed to no fewer than six placees at an issue price of HK$0.218 per placing share. None of the placees will become substantial shareholders of the Company immediately following completion. The placing shares account for approximately 12.69% of the total issued shares immediately before completion and roughly 11.26% of the enlarged total issued share capital post-completion.
Gross proceeds from the placing amount to about HK$9.1 million. After deducting relevant commission and expenses, net proceeds stand at around HK$8.9 million, intended for general working capital use.
The Company also issued a clarification: the maximum number of new shares issuable by the Company under the general authority should be 65,859,443 shares instead of 65,859,444 shares, arising from rounding differences.
