The transaction is still at the preliminary stage, pending due diligence and the signing of definitive agreements.

As disclosed in the announcement, one target company is a pioneer in agentic AI, offering self-developed agentic AI platforms to help corporate clients boost productivity across various business functions. The other is an experienced API platform provider delivering API-first enterprise solutions to support the API layer of agentic AI solutions.

The Company intends to acquire the entire issued share capital of the target entities, with consideration to be determined based on independent business valuations. The exclusivity period shall commence on the signing date of the memoranda and expire on September 15, 2026. Karin Technology stated that the proposed acquisitions are in line with the Group’s expansion strategy, while uncertainties remain. Shareholders and investors are advised to exercise caution.
