XIAOCAIYUAN (00999.HK): Proposes to Invest RMB 85 Million in Establishing a Joint Venture to Expand Diversified Businesses

On January 13, XIAOCAIYUAN Catering, a subsidiary of XIAOCAIYUAN, entered into a cooperation agreement with Mr. Tian Chunyong, Executive Director and Controlling Shareholder of the company, and Mr. Deng Gaoke, an independent third party, to jointly invest in establishing a joint venture. The joint venture will carry out diversified businesses including global e-commerce and community ready-to-eat stores. This transaction constitutes a connected transaction. The initial registered capital of the joint venture is RMB 20 million, of which XIAOCAIYUAN Catering will contribute RMB 14 million, accounting for 70% of the shares, with the maximum cumulative subsequent investment not exceeding RMB 85 million.

NewTimeSpace News: XIAOCAIYUAN (00999.HK) announced the establishment of a joint venture in an announcement on January 13, 2026. The initial registered capital of the joint venture is RMB 20 million, among which  XIAOCAIYUAN Catering will contribute RMB 14 million (accounting for 70% of the shares), Mr. Deng Gaoke will contribute RMB 5 million (accounting for 25%), and Mr. Tian Chunyong will contribute RMB 1 million (accounting for 5%).

Regarding the subsequent capital arrangement, after the initial capital is used up, all parties may continue to increase capital upon the decision of the general meeting of shareholders of the joint venture. Among them, the cumulative investment of XIAOCAIYUAN Catering (including the initial capital) shall not exceed RMB 85 million, while the cumulative investments of Mr. Deng Gaoke and Mr. Tian Chunyong shall be RMB 10 million and RMB 5 million respectively.

According to the announcement, the joint venture will focus on four major business segments: global e-commerce + local life, supply chain business, quality life stations (small stores), and fourth-party distributor business, and will explore new business formats and models.
